国巨并购KEMET案顺利已通过所有审查！预计Q3完成

国巨（Yageo）29日发布公告称，已收到中国反垄断局正式核准国巨与美国基美（KEMET）合并案的通知。

2019年11月12日，国巨宣布将以18亿美元并购美国基美，根据协议，国巨将以每股27.2美元，现金收购基美所有已发行流通在外的普通股股权，交易金额约16.4亿美元，加上承接基美所有债务，并购代价合计约18亿美元（合人民币127.4亿元）。

据了解，该笔交易的收购双方都是国际知名的被动元件制造商，双方产品包括MLCC、铝质电容、电感、电阻、钽质电容及薄膜电容等产品，其中，两家重合产品为MLCC、铝质电容及电感等。因此，国巨在收购完成后，即可吸收基美就此跨入钽质电容器及薄膜电容器领域。

“基美将是国巨未来5-10年重要的成长动力。”国巨董事长陈泰铭指出，并购基美的考量有几个原因，首先是基美的钽质电容市占率全球第一，而且光是钽质电容的获利就跟国巨全公司相当。

陈泰铭表示，大家都想进入车用、工规，这也是国巨的目标，国巨要成长，除了自身的有机成长外，并购也是关键，因此去年收购普思，他们主要专长在天线。陈泰铭强调，大家都把被动元件视为景气循环产业，但是并购基美后，将是国巨进军高端市场的关键。

据悉，本次交易在双方各项准备工作完善后，预计将在2020年第3季完成收购。交易完成后，基美将成为国巨的全资子公司。
